COMPANY NEWS;STANDISH CARE AGREES TO BUY CAREMATRIX

The Standish Care Company of Burlington, Mass., said yesterday that it would buy the Carematrix Corporation for stock valued at about $250 million. Standish Care will issue 50 million shares to the closely held Carematrix in a combination of the two companies, which own assisted-living centers. The purchase will raise the number of Standish Care shares outstanding to 55 million. Shares of Standish Care fell 12.5 cents, to $5, in Nasdaq trading. After the acquisition closes, the company could change its name to Carematrix, Standish Care said. The headquarters will move to Needham, Mass., where Carematrix is based.

Flooding brought on by heavy rains has killed more than 300 people, severed electrical lines and knocked down buildings, and the seasonal storms headed north today through China. Hundreds of thousands of soldiers and reservists were called out to evacuate more than half a million people and to repair damaged dikes in communities along the Yangtze River and its tributaries, official news reports said.

Teva Pharmaceutical Industries, an Israeli concern, is negotiating to acquire a pharmaceutical company in Western Europe from a multinational corporation. According to Teva, the unidentified company had total sales of about $60 million in 1995. Teva Pharmaceutical develops, manufactures and markets human pharmaceuticals, bulk pharmaceutical chemicals, medical disposables, veterinary products and fermentation products. Its American depository receipts fell $1.375, to $35.875, yesterday in Nasdaq trading.

Shares of the Hewlett-Packard Company fell yesterday after the company was removed from the influential "recommended list" at Goldman, Sachs & Company because of slowing sales. Shares of Hewlett-Packard dropped $2, to $92.125, and 2.7 million shares were traded, making the stock the second most active on the New York Stock Exchange. Third-quarter orders will increase 14 to 16 percent, down from the second quarter's 24 percent rise because of slowing sales in Europe across all product lines, a Goldman analyst, Laura Conigliaro, wrote in a research report released yesterday. The stock is now rated "market performer."

The company, based in Dallas, said it financed the acquisition through a preferred stock offering and credit. The shares of Semitool Inc. fell 15 percent yesterday after the company, a maker of semiconductor equipment, said it did not expect its earnings for the quarter ended Sunday to meet expectations. Stock in Semitool fell $1.875, to $11, in Nasdaq trading. Semitool said four tool orders valued at $5.4 million would be shipped in the fourth quarter, instead of the third. The higher cost of making new product lines will also narrow its margins, the company said. Semitool, based in Kalispell, Mont., said that orders for its tool product lines had increased its backlog by $20 million since March and predicted that its performance would improve in the fourth quarter.
